Gaughan joins Ice Miller's Business Services Group

Attorney Kyle Gaughan joins Ice Miller's Business Services Group, where he advises clients in a range of corporate legal matters, such as private equity, mergers and acquisitions, corporate governance and commercial transactions.

Gaughan regularly supports private equity clients, joint ventures and startups. He drafts and reviews private placement memorandums, operating agreements, subscription packages, convertible notes and asset management agreements. In addition, Gaughan acts as outside general counsel for supply, service and technology agreements.

Prior to establishing his private practice, Gaughan served as corporate counsel for a major candy company. He worked directly with the private equity group owner and outside counsel on all corporate governance matters, led negotiations of international equipment purchase agreements in excess of $10 million and served as head of the disclosure committee. In addition, he served as in-house lead for a dual track process of either IPO or sale of the company for which he reviewed and negotiated the stock purchase agreement, drafted disclosure schedules and led due diligence.

He also reviewed, drafted and participated in negotiations of complex commercial agreements in excess of $625 million, including asset sale purchase agreements and master supply agreements.
